1. Introduction
Welcome to WimboLink ("we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms and Conditions. WimboLink is an e-commerce platform that connects artists with customers. We do not handle, hold, or process payments directly. All payments are processed by partner banks.
2. Definitions
- "Platform" means WimboLink website and services.
- "Customer" means a user who purchases music.
- "Artist" means a Kwaya or musician who sells music.
- "Album" means a collection of tracks sold on the platform.
- "Purchase" means buying an album.
- "Partner Bank" means any bank (e.g., CRDB, NMB, NBC) that processes payments on our platform.
- "Agent" means WimboLink acts solely as an intermediary connecting artists and customers.
3. Account Registration
- You must provide accurate and complete information.
- You are responsible for maintaining your password security.
- You must be at least 18 years old to register as an artist.
- Artists must provide valid bank account information for payouts.
- We reserve the right to suspend or terminate accounts that violate these terms.
4. For Customers (Music Buyers)
- When you purchase an album, you receive a lifetime license to listen to the music.
- You may download the album for personal, non-commercial use only.
- You may NOT share, resell, or distribute the music files.
- All sales are final. No refunds after purchase.
- You may stream purchased music anytime from your library.
5. For Artists (Kwayas/Musicians)
5.1 Bank Account Requirement
- To receive payments, artists MUST have a valid bank account with a partner bank (CRDB, NMB, NBC, or other participating banks).
- Bank account details must be verified before you can start selling.
- Mobile money (M-Pesa, Tigo Pesa, Airtel Money) is available as an alternative payout method.
5.2 Direct Payment System (No Holding of Funds)
- WimboLink DOES NOT hold, store, or process artist funds.
- When a customer purchases your album, the payment is processed DIRECTLY by our partner bank.
- The bank automatically splits each transaction according to our agreed percentages.
- Your share (80%) is deposited DIRECTLY into your registered bank account.
- WimboLink acts solely as an e-commerce agent connecting buyers and sellers.
- We never have custody or control of your funds at any time.
5.3 Payout Timing
- Payments are processed instantly by the partner bank upon successful customer payment.
- Funds typically appear in your account within minutes, depending on your bank's processing time.
- You can track all transactions in real-time from your artist dashboard.
5.4 Verification Requirements
- You must provide valid government registration documents.
- All artists must be verified by our admin team before selling.
- You warrant that you own all rights to the music you upload.
- You are responsible for your own tax obligations.
- You may unpublish or delete your albums at any time.
6. Payment and Fee Structure
6.1 How Payments Work (Bank-to-Bank Split Payment)
- Step 1: Customer pays TZS X for an album via mobile money or bank transfer.
- Step 2: Our partner bank receives the payment.
- Step 3: The bank automatically splits the payment as follows:
Payment Distribution (per TZS 10,000 album):
- Artist Payout: TZS 7,000 (70%) - deposited directly to artist's bank account
- Platform Fee: TZS 2,000 (20%) - paid to WimboLink for operations
- Government Charges: TZS 500 (5%) - withheld for tax compliance
- Payment Gateway Fee: TZS 500 (5%) - deducted by mobile money/bank
Note: Percentages may vary based on actual gateway fees. WimboLink's share is 20% of the sale amount before gateway fees.
6.2 Important Legal Note (E-commerce Agent Status)
- WimboLink is an e-commerce platform and acts as an agent only.
- We are not a financial institution, payment processor, or money transmitter.
- We do not handle, hold, or control customer funds or artist payouts.
- All payment processing is handled by our licensed partner banks.
- Our role is limited to connecting artists with customers and providing the technology platform.
- Artist funds go directly from customer → bank → artist bank account. WimboLink never touches the money.
6.3 Government Charges (Not "TRA Tax" in UI)
- Our platform automatically calculates and withholds 5% for government charges (VAT and other statutory deductions).
- These charges are remitted directly to the relevant government authorities by our partner banks.
- Artists receive receipts for all government deductions.
7. Content Guidelines
- You may not upload music that infringes copyright.
- You may not upload explicit or offensive content.
- We reserve the right to remove any content without notice.
- Comments must be respectful and not harassing.
8. Intellectual Property
- Artists retain full ownership of their music.
- WimboLink owns the platform design, logo, and code.
- Customers receive a license to listen, not ownership.
9. Prohibited Activities
- Attempting to hack or disrupt the platform.
- Creating fake accounts or fraudulent purchases.
- Uploading malware or harmful files.
- Harassing other users or artists.
- Attempting to circumvent the payment system.
10. Limitation of Liability
WimboLink acts solely as an e-commerce agent and technology provider. We are not responsible for:
- Bank processing delays or errors
- Mobile money network failures
- Artist bank account issues
- Government tax deductions or reporting
- Any indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid us in the last 6 months.
11. Termination
We may terminate or suspend your account immediately for violating these terms. Artists with pending transactions will receive their earned balance through standard payout processes.
12. Changes to Terms
We may update these terms at any time. Continued use of the platform constitutes acceptance of new terms.
13. Governing Law
These terms are governed by the laws of the United Republic of Tanzania. Any disputes shall be resolved in Tanzanian courts.
